On June 20th, 2019, Ministerial Decision No. 67343 EΞ 2019 of the Minister of Finance, which regulates certain specific issues regarding the retention of information and registration process in the Ultimate Beneficial Owners (UBO) Central Register (UBO Registry), was published in the Government Gazette. The latter was introduced into the Greek legal system by Law 4557/2018 (Prevention and Suppression of Money Laundering and Terrorist Financing (incorporation of Directive 2015/849 / EU) and other provisions - Articles 20 and 21) and essentially implements the obligation of companies and other legal entities established in Greece or engaged in business activities that are taxed in Greece to provide and maintain information regarding the individuals to whom the company or legal entity ultimately belongs.
According to the above Ministerial Decision, legal entities were granted a 60-day deadline to register their UBOs data with the UBO Registry. The deadline begins from the completion of the registration with the tax office, for newly established companies, or from the occurrence of any changes in the data of the UBOs, for existing companies.
Pursuant to Ministerial Decision No. 100784 ΕΞ/14.07.2022 of the Minister of Finance, which amended Article 8 of the above-mentioned 67343 ΕΞ 2019 MD, legal entities commencing business activity or having changes to the data of their UBO occurring by 31 August 2022, instead of the prescribed deadline of sixty (60) days, exceptionally, are granted an extension until 31 October 2022, to proceed with the required registrations to the UBO Central Register.
It is clarified that the sixty (60) days deadline for submissions continues to normally apply for legal entities that start their business activity or make changes to the data of their UBO after 31 August 2022.
